Terms of Service

Effective Date: September 19, 2025

1. Agreement to Terms

By accessing or using Ara Teams ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Ara Teams provides a centralized analytics workspace platform that enables data teams to collaborate, manage analytics workflows, version control analyses, and build institutional knowledge. The Service includes features for storing, searching, and managing analytical work across various formats including notebooks, SQL queries, models, and reports.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover or suspect any security breaches
  • Take responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Collect or harvest any personally identifiable information from other users
  • Use the Service for any unlawful or unauthorized purpose

5. Content and Data

Your Content

You retain all rights to the content and analyses you upload to the Service ("User Content"). By uploading User Content, you grant Ara Teams a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you and your team.

Data Security

We implement industry-standard security measures to protect your data. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

Data Portability

You may export your User Content at any time through the Service's export features. Upon account termination, you have 30 days to retrieve your data before it may be permanently deleted.

6. Team and Collaboration Features

When you create or join a team workspace:

  • Content shared within a team is accessible to all team members with appropriate permissions
  • Team administrators have control over member access and permissions
  • You are responsible for managing access controls and ensuring appropriate sharing of sensitive information
  • Team usage may be subject to the subscription tier of the team owner or organization

7. Subscription and Payment

Certain features of the Service require a paid subscription. By selecting a subscription plan:

  • You authorize us to charge your payment method on a recurring basis
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change subscription fees upon 30 days' notice
  • Failure to pay may result in suspension or termination of your access to the Service

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Ara Teams and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

9. Third-Party Services

The Service may integrate with third-party services and tools. Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the content or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARA TEAMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO ARA TEAMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless Ara Teams, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through the account settings or by contacting support.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Delaware.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
